What it is

The Sarbanes–Oxley Act (also known as the ‘Public Company Accounting Reform and Investor Protection Act’ and ‘Corporate and Auditing Accountability and Responsibility Act’) applies to all U.S. public companies (large and small), public accounting firms and firms providing auditing services. SOX compliance contains:

  • Disclosure controls – requiring that the company’s principal officers certify and approve the integrity of their company financial reports quarterly.
  • Assessment of internal controls – requiring management and external auditors to report on internal controls.

Both must be developed, implemented and reviewed periodically.
